Software License Agreement

This License Agreement (the «Agreement») sets out the terms on which Tripoli Media (the «Licensor») grants you (the «Licensee») a license to use the CRM platform called «Tripoli» (the «Software»).
1. Grant of license
Subject to this Agreement and to your subscription being paid up, the Licensor grants you a license that is:
- Non-exclusive: the Licensor may license the same Software to others.
- Non-transferable: you may not assign, transfer or sublicense it.
- Limited: use is restricted to what this Agreement and the Terms of Service describe.
- Revocable: the Licensor may revoke it for the reasons set out here and in the Terms of Service.
2. What the license covers
The license lets you:
- Reach and use the Software over the internet, from any compatible browser, for your own business.
- Create and manage as many Operator accounts as your subscription plan allows.
- Store, process and manage data about your business contacts (leads, clients, suppliers) within the limits of your plan.
- Connect the Software to the supported third-party services (Google Calendar, Gmail, WhatsApp Business API), with whatever features are available.
3. Restrictions
You may not:
- Copy, reproduce or duplicate the Software or any part of it.
- Modify, adapt, translate or build derivative works from it.
- Decompile, disassemble, reverse engineer or otherwise try to obtain its source code.
- Sublicense, rent, lend or make the Software available to unauthorized third parties.
- Resell the Software or use it to provide services to third parties (agency or resale model).
- Remove, alter or hide intellectual property notices, trademarks or legends in the Software.
- Use the Software to build a competing product or service.
4. Your data
You keep every right, including intellectual property rights, over the data you enter, generate or store in the Software («Customer Data»).
The Licensor acts as your service provider for that data, processes it only on your instructions and for the purposes described in the Privacy Notice, and does not sell it or use it for its own purposes.
The Licensor acquires no ownership, use or license over Customer Data beyond what is strictly needed to run the Service.
5. Exporting your data
You may ask for an export of all your Customer Data at any time while the license is in force, in these formats:
- CSV: for tabular data (leads, clients, sales, products, transactions).
- JSON: for structured data with complex relationships.
You can export straight from the Settings section of the CRM, or ask in writing at contacto@tripoli.media. We process written requests within five (5) business days.
6. Backups
The Licensor takes automatic daily backups of Customer Data, kept for thirty (30) calendar days. They exist for disaster recovery and are not a long-term archiving service.
The Licensor will make commercially reasonable efforts to restore data after accidental loss, but does not guarantee full recovery in every scenario.
7. Updates
The Licensor may update, improve or change the Software without notice, as long as those changes do not materially reduce the core functionality of the Service. Updates may include:
- Bug fixes and security patches.
- Performance improvements.
- New features and modules.
- Interface changes.
Where a change significantly alters how the Software works or how you work in it, the Licensor will give reasonable notice.
8. Limited warranty
The Software is provided «as is», with the features described in the documentation and on the platform. The Licensor warrants that:
- The Software will work substantially as advertised.
- Reasonable security measures will be applied to protect Customer Data.
To the fullest extent the law allows, the Licensor disclaims every other warranty, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
9. Third-party integrations
The Software connects to third-party services, including:
- Google (Calendar and Gmail): calendar sync and email.
- Meta / WhatsApp Business API: sending and receiving WhatsApp messages.
- Stripe: payments and subscriptions.
Each of those services has its own terms, which you accept directly with the provider when you connect your account. The Licensor is not responsible for outages, changes or decisions made by those services, and may adjust or withdraw an integration if the provider changes its own conditions.
10. Confidentiality
Each party will keep confidential the non-public information it learns from the other because of this Agreement, and will use it only to perform it. This does not cover information that is already public, that was already lawfully known, or that has to be disclosed by law or by order of a competent authority — in which case the other party is told, where it is lawful to do so.
11. Term
This license is in force while your subscription is active. It ends when the subscription ends, for whatever reason, subject to the grace period for exporting data described in the Terms of Service.
Once it ends, you must stop using the Software. Sections 3, 4, 8 and 10 survive the end of this Agreement.
