1. Definitions

In these Terms of Service:

  • «Provider», «we», «us»: Moisés Monraz Escoto, a sole proprietor doing business as «Tripoli Media», with offices at Av. de las Rosas 585 int. 2, Chapalita Oriente 45040, Zapopan, Jalisco, Mexico.
  • «Customer», «you»: the business or professional that subscribes to and uses the Service.
  • «Service»: the customer relationship management platform called «Tripoli», delivered over the internet as cloud software (SaaS).
  • «Authorized Users» or «Operators»: the individuals you allow to sign in and use the Service, each with their own credentials.
  • «Customer Data»: everything you and your Operators enter, generate or store in the Service, including contacts, leads, clients, sales, files and communications.

2. What this agreement covers

These Terms govern the relationship between the Provider and the Customer for the delivery of the Service: a SaaS license to manage client relationships, sales pipelines, commercial operations, email and WhatsApp communication, appointments, tasks, financial records and business analytics.

By signing up and using the Service, you confirm that you have read, understood and accepted these Terms in full.

3. Who may use the Service

To subscribe to and use the Service you must:

  • Be a business, a legal entity, or an individual acting for business purposes, validly formed or resident in your jurisdiction.
  • Be of legal age and able to enter into a binding contract.
  • Provide true and current information when you sign up, and keep it up to date.

The Service is a business tool. It is not offered for personal, family or household purposes. A tax identification number (such as a Mexican RFC or a U.S. EIN) is requested only where it is needed to issue an invoice in your country.

4. Signing up

Signing up has four steps:

  1. Registration: you give us your contact details, your billing information and your company information.
  2. Verification: we check what you sent and confirm that you are eligible.
  3. Setup: we set up your CRM instance, with its own database and application environment.
  4. Activation: once setup is done and your payment method is on file, you receive your credentials and can start using the Service.

5. Subscription plan

The Service is sold as a subscription, on these terms:

  1. Currency and final price: the Service is billed in U.S. dollars (USD). The prices in this Section are the final price: they include any taxes that apply, so the amount you see is the amount charged, with nothing added at checkout. If you pay with a card issued in another currency, your own bank or card issuer converts the charge at its exchange rate and with whatever fee it charges for doing so; we take no part in that conversion and receive nothing from it.
  2. Base price: the regular monthly payment of the annual subscription is $99.99 USD. We may offer promotional prices or discounts at our discretion, and may change or withdraw them at any time with prior notice to you.
  3. Current promotional price: while the promotion is running, the monthly payment of the annual subscription is $49.99 USD instead of the base price of $99.99 USD. This discount is given in exchange for the twelve (12) month commitment described in item 6 of this Section.
  4. Student rate: students with current enrollment may subscribe for $24.99 USD per month during the first year of the plan. When the plan is renewed in its final month, the monthly payment moves to the promotional price of $49.99 USD; if it is not renewed, reactivating it later costs the base price of $99.99 USD per month. The student rate includes exactly the same features as the regular plan, with nothing removed. Enrollment is proved with a proof of enrollment issued by the school, showing the current term, dated no more than three (3) months before the request. We may ask for an updated document at the end of each term; if current enrollment is not proved, the subscription moves to the rate that applies, with thirty (30) days' notice. Sending false or altered documents allows us to charge the difference against the regular rate from the start of the subscription and to terminate the agreement under Section 11.
  5. First month free: the first of the twelve (12) months of the plan is free. It is not a trial period: the commitment described in the next item starts on the day you subscribe, including that first month.
  6. Annual commitment: when you subscribe, you commit to twelve (12) months counted from the day you sign up. The first month is free and the remaining eleven (11) are charged monthly to the payment method on file.
  7. Early cancellation: if you cancel before the twelve (12) months are up, including during the free first month, an early cancellation charge applies, equal to the number of unpaid months multiplied by the base price of $99.99 USD, with no discounts or promotions applied. This also applies to the student rate. The reason is that the promotional price and the free month are given precisely in exchange for the commitment: when it ends early, the remaining months are recalculated at the base price. For example: cancelling during the free first month means a charge of $99.99 × 11 = $1,099.89 USD; cancelling with six (6) months left means $99.99 × 6 = $599.94 USD. The charge is made automatically to the payment method on file at the time of cancellation, and the exact amount is shown to you before you confirm. You acknowledge that you were told about this before subscribing.
  8. Renewal: during the last month of the commitment you may renew for another twelve (12) months at the promotional price of $49.99 USD per month, with no free month. This also applies if you subscribed at the student rate, which only covers the first year. A renewed plan keeps the same commitment and early cancellation terms. If you do not renew, the subscription ends when the twelve (12) months are up and nothing further is charged.
  9. Reactivation: if your subscription has ended, you may reactivate it at the base price of $99.99 USD per month, with no free month and a new twelve (12) month commitment.
  10. Setup: creating your account and setting up the Service cost nothing. The Service includes a guided tour that walks you through getting started, at no extra charge.
  11. Price changes: we may change the subscription price with sixty (60) days' notice. The new price applies to the first billing cycle after the notice. If you do not agree with it, you may cancel without penalty before it takes effect.
  12. Invoices: we issue a receipt or invoice for every charge. Mexican tax invoices (CFDI) are issued for customers who require them under Mexican law, showing the exchange rate applicable on the date of the transaction.
  13. Database infrastructure costs (Supabase): the Service runs on database infrastructure from Supabase, Inc. under its free plan. If at any point your database exceeds the limits of that free plan — storage, number of records, data transfer or other resources — we will let you know that the account has to move to the corresponding paid plan (Supabase Pro or higher). The full cost of that upgrade is yours. We are not responsible for paying for or contracting that upgrade: you upgrade the account and register your own payment method directly with Supabase.

6. Acceptable use

You agree to use the Service lawfully and in line with these Terms. The following are not allowed:

  • Reselling, sublicensing, redistributing or making the Service available to unauthorized third parties.
  • Sharing sign-in credentials between people. Each Operator must have their own user.
  • Using the Service for unlawful or fraudulent purposes, or in breach of the laws that apply to you.
  • Sending unsolicited messages (spam) through the email or WhatsApp features built into the Service, or otherwise breaching the CAN-SPAM Act, the TCPA or equivalent rules where you operate.
  • Storing sensitive personal information — health, financial account, biometric or government identification data — without the informed consent of the person it belongs to and a lawful basis to do so.
  • Exceeding the reasonable storage limits set for each subscription plan.
  • Trying to reach data, accounts or infrastructure belonging to other customers of the Service.
  • Doing anything that compromises the security, availability or integrity of the Service.

7. Intellectual property

The software, source code, design, trademarks, logos and everything else that makes up the Service belong to Tripoli Media and are protected by the intellectual property laws that apply.

You keep full ownership of your Customer Data. We acquire no ownership over it and only process it as described in the Privacy Notice.

8. Availability

We will make commercially reasonable efforts to keep the Service available, targeting ninety-nine and a half percent (99.5%) uptime each month, excluding:

  • Scheduled maintenance, announced by email at least twenty-four (24) hours in advance.
  • Outages caused by third-party services (Google, Meta/WhatsApp, Stripe, Supabase, Vercel) that we do not control.
  • Events of force majeure.

We do not warrant that the Service will be uninterrupted or error-free.

9. Support

Support is available through:

Hours are Monday to Friday, 9:00 to 18:00 Central Time (Mexico City, UTC-6), excluding public holidays. We aim to answer support requests within twenty-four (24) business hours.

10. Limitation of liability

To the fullest extent the law allows:

  • We are not liable for data loss caused by misuse of the Service by you or your Operators.
  • We are not liable for outages, failures or changes in the third-party services we integrate with (Google, Meta, Stripe, among others).
  • We are not liable for commercial, financial or other decisions you make based on the data, reports or analytics produced by the Service.
  • Our total cumulative liability to you, on any theory of liability, will not exceed the total amount you paid during the last twelve (12) months of subscription.
  • Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, even if advised that they were possible.

11. Termination

By you: you may cancel your subscription as described in Section 5. After the cancellation takes effect, you have a grace period of thirty (30) calendar days to export your data.

By us: we may suspend or terminate access to the Service immediately if:

  • Two (2) or more consecutive monthly payments go unpaid.
  • The Service is misused or these Terms are breached.
  • Conduct compromises the security or integrity of the Service or of other customers.
  • A competent authority requires it.

What happens then: once the relationship has ended and the thirty (30) day grace period has passed, we permanently delete all Customer Data within the following thirty (30) calendar days (sixty calendar days from the effective termination date).

12. Changes to these terms

We may change these Terms at any time. Changes are announced at least thirty (30) calendar days before they take effect, through:

  • An email to the address on your account.
  • A notice inside the CRM.

Continuing to use the Service after the effective date means you accept the new terms. If you do not agree with them, cancel your subscription before that date.

13. Governing law

These Terms are governed by and interpreted under the laws of the United Mexican States, where the Provider operates.

For anything arising out of these Terms, both parties submit to the courts of the city of Guadalajara, Jalisco, Mexico, waiving any other venue that might apply by reason of their present or future domicile. Nothing here removes any right you may have under the mandatory consumer protection laws of the place where you live.
